These Terms of Service ("Terms") govern your access to and use of Checksy (the "Service"), a web-based checklist and task management application. By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. Definitions

"Service" refers to the Checksy web application and all related services, features, content, and applications provided by Checksy.

"User," "you," and "your" refer to any individual or entity that accesses or uses the Service.

"Content" means any data, text, information, checklists, tasks, or other materials uploaded, created, or stored through the Service.

"Account" means the user account created to access and use the Service.

2. Eligibility and registration

You must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater, to use the Service. By registering for an Account, you represent and warrant that you have the legal capacity to enter into a binding contract.

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and other Account credentials. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your Account, whether or not you have authorized such activities or actions.

You must immediately notify us of any unauthorized use of your Account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with these requirements.

3. Description of service

Checksy provides a web-based platform for creating, managing, and organizing checklists with support for recurring tasks, collaboration features, reminders, and other productivity tools. The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you.

4. Acceptable use policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable local, state, national, or international law or regulation
  • Infringe upon or violate the intellectual property rights or any other rights of others
  • Upload, transmit, or distribute any malicious code, viruses, or harmful components
  • Engage in any activity that disrupts or interferes with the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service, other Accounts, or any systems or networks
  • Use the Service for any illegal, harmful, fraudulent, deceptive, or discriminatory purpose
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity
  • Use automated systems, including "robots," "spiders," or "scrapers," to access the Service
  • Collect or store personal data about other users without their express consent
  • Use the Service to transmit spam, chain letters, or other unsolicited communications

5. User content and intellectual property

You retain all ownership rights to the Content you create, upload, or store through the Service. By uploading or submitting Content to the Service, you grant Checksy a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content solely for the purpose of providing and improving the Service.

You represent and warrant that: (a) you own or have the necessary rights and permissions to use and authorize us to use all Content as described in these Terms; and (b) the Content does not and will not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, or any other rights.

We reserve the right to remove or disable access to any Content that violates these Terms or that we determine, in our sole discretion, to be objectionable. You acknowledge that we have no obligation to monitor Content, but we reserve the right to do so.

All rights, title, and interest in and to the Service, including all software, technology, designs, trademarks, and other intellectual property, are and will remain the exclusive property of Checksy. These Terms do not grant you any rights to use our trademarks, logos, or branding.

6. Payment and subscription terms

Certain features of the Service may require payment of fees. You agree to pay all applicable fees as described in the Service at the time of purchase. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

For subscription services, your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. We reserve the right to change our fees at any time, provided that we give you at least 30 days' advance notice of such changes. Your continued use of the Service after the fee change takes effect constitutes your agreement to pay the modified fees.

You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features through the end of your current billing period, after which your Account will revert to the free plan (if available) or your access may be restricted.

7. Privacy and data protection

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy. By using the Service, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

We implement appropriate technical and organizational measures to protect your Content and personal data against unauthorized access, loss, or destruction. However, no method of transmission over the Internet or method of electronic storage is completely secure, and we cannot guarantee absolute security.

You are responsible for maintaining regular backups of your Content. While we implement backup procedures, we do not guarantee that your Content will be backed up or that backups will be available or restorable.

8. Service availability and modifications

While we strive to provide reliable and continuous service, we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our reasonable control, including force majeure events, telecommunications failures, or third-party service disruptions.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including the availability of any feature, database, or content, with or without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

9. Disclaimers and warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results that may be obtained from the use of the Service will be accurate or reliable; (d) the quality of any products, services, information, or other material obtained through the Service will meet your expectations; or (e) any errors in the Service will be corrected.

You acknowledge that your use of the Service is at your sole risk. You are solely responsible for any damage to your computer system or loss of data that results from your use of the Service.

10. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Checksy, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to, use of, or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or Content

Our total liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of the amount you have paid us in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. Accordingly, some of the limitations set forth above may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Checksy, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party, including any other user; or (d) your Content.

12. Termination

You may terminate your Account at any time by contacting us or using the Account deletion feature in your Account settings. Upon termination, your right to use the Service will immediately cease.

We reserve the right to suspend or terminate your Account and access to the Service at any time, with or without cause, with or without notice, and without liability. Grounds for termination may include, but are not limited to: (a) violation of these Terms; (b) fraudulent, abusive, or illegal activity; (c) prolonged inactivity; or (d) our business decision to discontinue providing the Service.

Upon termination of your Account, we may delete your Content and any other data associated with your Account. We are under no obligation to retain your Content beyond the termination date, and we will have no liability for any deletion of Content.

The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Third-party services and links

The Service may contain links to third-party websites or services that are not owned or controlled by Checksy. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by or in connection with your use of any such content, goods, or services available on or through any such websites or services.

14. Governing law and dispute resolution

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Sweden for the resolution of any disputes.

Before filing a claim, you agree to try to resolve the dispute informally by contacting us. We will try to resolve the dispute informally by contacting you. If a dispute is not resolved within 30 days of submission, you or we may bring a formal proceeding.

15. Changes to these terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email (to the address associated with your Account) or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

If you do not agree to the modified Terms, you must stop using the Service and may terminate your Account. The most current version of these Terms will always be available on this page.

16. General provisions

Entire agreement. These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Checksy concerning the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice to you.

Force majeure. We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, or governmental actions.
